IMPORTANT: PLEASE READ THESE TERMS AND CONDITIONS (“TERMS AND CONDITIONS”) BEFORE ENTERING THE SWEEPSTAKE. THIS IS A LEGALLY BINDING AGREEMENT BETWEEN YOU AND SENTINELONE, INC. (“SENTINELONE”) ESTABLISHING THE TERMS AND CONDITIONS UNDER WHICH YOU ARE ENTITLED TO PARTICIPATE IN THE SWEEPSTAKE (DEFINED BELOW). BY ENTERING THE SWEEPSTAKE, YOU CONFIRM THAT YOU HAVE READ AND UNDERSTOOD, AND AGREE TO ABIDE BY, THESE TERMS AND CONDITIONS.
1. SPONSOR
These Terms and Conditions govern the SentinelOne Warriors Game Sweepstakes (the “Sweepstake”). SentinelOne, Inc. located at 444 Castro St., Suite 400, Mountain View, CA 94041 is the Sweepstake sponsor (“SentinelOne” or “we”).
2. ENTRY PERIOD
The Sweepstake starts at January 2nd, 2025 at 9am Pacific Time and ends at 5pm Pacific Time on January 7th, 2025 (“Entry Period”).
3. ELIGIBILITY
The Sweepstake participant (“Participant” or “you” and “your”) must be 18 years or older and a legal resident of the United States, excluding Florida, New York, and Rhode Island, to be eligible to participate in the Sweepstake.
It is your sole responsibility to comply with your employer’s gift policies. SentinelOne will not be party to any disputes or actions related to this matter.
Employees and directors of SentinelOne and its subsidiaries, affiliates, advertising agencies are not eligible to enter, nor are persons involved in the execution or administration of this Sweepstake, or relatives and/or those living in the same household of each of the above.
The Sweepstake is (a) governed by these Terms and Conditions, (b) void where prohibited or restricted by law, and (c) subject to all applicable federal, state, and local laws and regulations.
By entering, you agree that you have read and consent to be bound by these Terms and Conditions, and SentinelOne’s privacy policy, available here. Eligibility is conditioned on the acceptance of these Terms and Conditions and SentinelOne’s privacy policy at time of Entry.
4. NO GOVERNMENT EMPLOYEES
U.S. public-sector employees are not eligible for this promotion, including employees of federal, state, and local governments as well as educational institutions and libraries.
5. HOW TO ENTER
– To enter the Sweepstake, a Participant must, during the Entry Period: (i) follow SentinelOne on Linkedin, (ii) like the SentinelOne Linkedin post, (iii) comment on the SentinelOne Linkedin post and include the hashtag #SentinelOneSweepstakes, and (iv) tag one person (together, an “Entry”), for a chance to win the Prize.
– No participant who attempts to enter this promotion after the Entry Period will receive the Prize.
– Limited to one (1) submission per person. Duplicate submissions, which may include using the same email with different names, will disqualify all such submissions.
6. RANDOM DRAWING(S)
On or about January 6, 2025, two (2) potential winner(s) will be selected in a random drawing from among all eligible Entries received during the Entry Period (the “Winner(s)”). Drawing(s) will be conducted by SentinelOne’s representative or designee, whose decisions shall be final and binding in all respects. Potential winner(s) will be contacted by email, and will be asked to provide the necessary information (such as first and last name, email address, mailing address, and/or phone number) to SentinelOne.
7. PRIZE(S)
There will be TWO (2) prize(s) (each, a “Prize”), each consisting of two (2) tickets to the Golden State Warriors vs. Boston Celtics game on January 20, 2025. Approximate retail value (“ARV”) of each Prize: $3400. Total ARV of all Prizes: $6800. Odds of winning a Prize depend on the number of eligible Entries received during the Entry Period. Any Prize details not specified above will be determined by SentinelOne in its sole discretion.
8. RIGHTS GRANTED BY YOU
As a condition of Entry, Participant agrees that SentinelOne shall have the right to use, copy, modify and make available the Entry in connection with the operation, conduct, administration, and advertising and promotion of the Sweepstake and of SentinelOne via communication to the public, including, but not limited to the right to make screenshots, animations, and video clips available to the public for promotional and publicity purposes. Furthermore, by participating in the Sweepstake and/or accepting the Prize, each Participant grants (and agrees to confirm that grant in writing) to SentinelOne and/or SentinelOne’s designee the perpetual right to use his/her name, biographical information, photos and/or likeness, and statements for promotional, trade, commercial, advertising and publicity purposes, at any time or times, in all media now known or hereafter discovered without notice, review or approval and without additional compensation, except where otherwise prohibited by law.
9. GENERAL CONDITIONS AND RELEASE OF LIABILITY
The Prize is not transferable. Taxes on the Prize are the sole responsibility of Winner. No Prize substitutions or cash redemptions allowed, except by SentinelOne, who may substitute a Prize of equal or greater value if the advertised Prize becomes unavailable. SentinelOne shall not be held responsible for any delays in awarding the Prize or any component thereof for any reason. Entry into this Sweepstake constitutes Participant’s agreement to be bound by these Terms and Conditions and by the decisions of SentinelOne, which are final and binding on all matters pertaining to this Sweepstake. Potential Prize winner may be required to sign and return an Affidavit of Eligibility/Liability & Publicity Release and a Confidentiality Agreement within 48 hours following the date of first attempted notification. Failure to comply within this time period may result in disqualification and selection of an alternate winner. In the event that any prize notification message is returned as undeliverable or if no response to the prize notification message is received within the time period stated or if the potential winner is found ineligible or does not comply with these Terms and Conditions, the Prize may, in the SentinelOne’s sole and absolute discretion, be forfeited and awarded to an alternate winner selected at random from among remaining eligible Entries. If SentinelOne is unable to confirm a winner after three (3) good faith attempts, the Prize may not be awarded. If the confirmed Winner forfeits the Prize for any reason after confirmation, no alternate winner will be selected. In no event will more than two Prize(s) be awarded. If, for any reason, more than two prize notification(s) are sent (or more than two claim(s) are received), SentineOne reserves the right to award the Prize through a random drawing from among all eligible prize claims received. As a condition of Entry, Participants agree that (1) the Sweepstake is in no way sponsored, endorsed or administered by, or associated with LinkedIn; and (2) any questions, comments or complaints regarding the Sweepstake will be directed to SentinelOne, not to LinkedIn. Failure by SentinelOne to enforce any provision of these Terms and Conditions shall not constitute a waiver of that provision.
To the maximum extent allowed by law, by entering into this Sweepstake, you agree to release and hold harmless SentinelOne, LinkedIn, and each of their respective affiliates, directors, officers, employees and agents (the “Released Parties”) from any and all liability or any damage, loss, death or personal injury that may occur as a result of your participation in the Sweepstake or with respect to awarding, receipt, possession, use and/or misuse of any Prize. The Released Parties are not responsible for any typographical or other error in the printing of the offer, administration of the Sweepstake, or in the announcement of the Prize. A Participant may be prohibited from participating in this Sweepstake if, in SentinelOne’s sole discretion, it reasonably believes that the Participant has attempted to undermine the legitimate operation of this Sweepstake by cheating, deception, or other unfair playing practices or annoys, abuses, threatens or harasses any other Participants, Released Parties, or associated agencies or entities.
All local laws apply. The decisions of SentinelOne are final and binding.
SentinelOne reserves the right to cancel, change or suspend this Sweepstake for any reason, including cheating, technology, failure, catastrophe, war or any other unforeseen event that affects the integrity of this Sweepstake. If the integrity of the Sweepstake cannot be restored, we may select winners from among all eligible Entries received before we cancel, change or suspend the Sweepstake. Violators will be prosecuted to the full extent of the law and may be banned from participation in future SentinelOne Sweepstakes.
10. PRIVACY
Details from all Entries submitted in the intake form, if applicable, will be collected and used for the purposes of conducting this Sweepstake (which may include disclosure to third parties for the purpose of processing and conducting the Sweepstake) and for publicity purposes surrounding this Sweepstake. The information submitted by you during the registration process or otherwise when participating in the Sweepstake may include your email address, ID number and other personal information (“Personal Information”). By entering this Sweepstake you consent to the use of your information as described. Except as provided elsewhere in these Terms and Conditions, your Personal Information will only be used by SentinelOne in accordance with applicable data protection laws and regulations and SentinelOne’s privacy policy referred to below, for the purposes of administering your participation in the Sweepstake. 11. TAXES
Taxes imposed by any applicable government including incidental costs that may be levied on Prizes shall be fully borne by the Prize Winner.
12. PARTICIPANT REPRESENTATIONS AND INDEMNITY
Each Participant represents and warrants that their Entry is original, that they are the sole and exclusive owner and right holder of the submitted Entry, and that they have the right to submit the Entry in the Sweepstake. Each Participant further represents and warrants that their Entry does not (1) infringe any third party proprietary, intellectual property, industrial property, personal rights or other rights, including without limitation, copyright, trademark, patent, trade secret or confidentiality obligation; (2) include any personally identifiable information of any person other than Participant; or (3) otherwise violate any applicable law.
To the maximum extent permitted by law, each Participant indemnifies and agrees to keep indemnified the Released Parties at all times from and against any liability, actions, claims, demands, losses, damages, costs and expenses for or in respect of which the Released Parties may become liable by reason of or related or incidental to any act, default or omission by a Participant under these Terms and Conditions including without limitation resulting from or in relation to any breach, non-observance, act or omission, whether negligent or otherwise, of these Terms and Conditions by a Participant.
13. NO WARRANTIES.
To the extent permitted by law, SentinelOne does not warrant that participation in the Sweepstake or any related materials will be provided on an uninterrupted, timely, secure and error-free basis; or that no computer viruses will be transmitted to your computer system as a result of any online activity of the Sweepstake (if any). SentinelOne does not warrant the use, validity, accuracy, or reliability of, or the results of the use of, or otherwise in respect of the materials on the Sweepstake site or any sites linked to the Sweepstake site.
14. NO CHEATING
You acknowledge and agree that no form of cheating is tolerated. If you are found cheating, as determined in SentinelOne’s sole discretion, you will immediately be disqualified from the Sweepstake.
15. MODIFICATION OF THESE TERMS AND CONDITIONS
To the extent permitted by law, SentinelOne may modify these Terms or withdraw or terminate the Sweepstake at any stage without liability to anyone.
16. GOVERNING LAW
Except where prohibited, Participant agrees that any and all disputes, claims and causes of action arising from or related to this Sweepstake or any Prize awarded will be resolved individually, without resort to any form of class action, and exclusively by binding arbitration before a single arbitrator reasonably accepted by you and SentinelOne, which arbitration shall be conducted in Santa Clara, California in accordance with JAMS’ Comprehensive Arbitration Rules and Procedures and in accordance with the Expedited Procedures in those Rules. The language to be used in the arbitral proceeding will be English. Judgment on the award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.
17. ELIMINATION
Any false information provided within the context of the Sweepstake by any Participant concerning identity, postal address, telephone number, ownership of right or noncompliance with these Terms and Conditions or the like may result in the immediate elimination of the Participant from the Sweepstake. SentinelOne further reserves the right to disqualify any Entry that it believes in its sole and unfettered discretion infringes upon or violates the rights of any third party or otherwise does not comply with these Terms and Conditions.
18. WAIVER
Participants hereby waive all rights to: (i) claim punitive, exemplary, special, incidental, indirect and consequential damages and any other damages (whether due to negligence or otherwise), other than for actual out-of-pocket costs; and (ii) have damages multiplied or otherwise increased.
19. LIMIT OF LIABILITY
Sweepstake is not responsible for electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic computer, hardware or software malfunctions or limitations of any kind, or inaccurate transmissions of or failure to receive an Entry or Entry information by SentinelOne on account of technical problems or traffic congestion via mobile phone or otherwise. If, for any reason, the Sweepstake is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, act of God, or any other causes which corrupt or otherwise affect the administration, security, fairness, integrity, or proper conduct of this Sweepstake, SentinelOne reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstake or any portion thereof at any time, and for any reason without further obligation or advance notice. SentinelOne reserves the right, but does not have any obligation, to select winners from eligible entries received as of the termination date. SentinelOne further reserves the right to disqualify any individual who tampers with the entry process or the operation of the Sweepstake or acts in violation of these Terms and Conditions or in an unsportsmanlike or disruptive manner.
20. CAUTION
Any attempt by a Participant to deliberately damage any associated website or undermine the legitimate operation of the Sweepstake is a violation of criminal and civil laws and should such an attempt be made, Sweepstake reserves the right to seek damages from any such Participant to the fullest extent of the law.
21. SOCIAL MEDIA PROMOTIONS
Pursuant to LinkedIn promotion guidelines, this Sweepstake is in no way sponsored, endorsed, administered by, or associated with LinkedIn. By entering, you release and hold LinkedIn harmless from Liability.
22. NO THIRD-PARTY SPONSOR
This Sweepstake is in no way sponsored, endorsed, or administered by, or in association with any person or other entity, including any third party, other than SentinelOne. NAMES, LOGOS AND OTHER MATERIALS ARE USED FOR PURPOSES OF SWEEPSTAKE AND/OR PRIZE DESCRIPTION ONLY. ALL TRADEMARKS, SERVICE MARKS, TRADE NAMES, TRADE DRESS, PRODUCT NAMES AND LOGOS APPEARING IN THE SWEEPSTAKE ARE THE PROPERTY OF THEIR RESPECTIVE OWNERS; USE DOES NOT IMPLY AFFILIATION OR ENDORSEMENT.
23. SEVERABILITY
If any provision(s) of these Terms and Conditions are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect.
